All companies in Cyprus must be registered with the Department of Registrar of Companies and abide by the Companies Act.



Requirements to register a Cyprus company limited by shares

  • Minimum 1 Shareholder (individual or corporate entity)
  • Minimum 1 Director (individual or corporate entity)
  • Company Secretary (individual or corporate entity)
  • Initial paid-up share capital of at least 1000 shares (usually 1.00 EUR each)
  • Registered office address in Cyprus

1 SUBMIT APPLICATION
Provide 2-3 options of the potential name of the company or select one from our list of approved company names.
Complete and submit the questionnaire (clarify company structure and additional services if required)
Receive quote
Settle invoice and provide the required due diligence documents
2 PREPARE DOCUMENTS

Prepare M&AA (Memorandum and Articles of Association):

  • If a shareholder is the Alpha IBC nominee, then the M&AA will be signed in our office.
  • If you wish to have a foreign company or other natural person as a shareholder, then the M&AA will be sent to your shareholder for signature.
Send all requested due diligence and M&AA (if applicable) to our office.

For Director(s)/Shareholder(s) - natural persons:

  • Certified copy of Passport for each Director/Shareholder
  • Completed/signed KYC Form (read more)
  • Bank Reference Letter (click for sample)
  • Proof of Address (e.g. bank statement, utility bill not older than 3 months)

For Director(s)/Shareholder(s) - legal entities:

  • Copy of the Certificate of Incorporation of the holding company
  • Copy of business profile “Extract” of the holding company
  • Copy of passport personal page of Parent Company’s representative who will be signing the incorporation documents
From this point we will proceed to submit the necessary documents with the Cyprus registry and settle all the relevant government fees
